Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and CLOYK YAZILIM TEKNOLOJİLERİ ANONİM ŞİRKETİ, a company incorporated in Türkiye ("Cloyk", "we", "us") and govern your use of Cloyk Works, our work and project management service, including its web and mobile apps, APIs and related support (the "Service").

If you use the Service on behalf of an organisation, you accept these Terms for that organisation and confirm you have authority to do so; "you" then means the organisation. By creating an account, joining the waitlist for paid access or using the Service, you agree to these Terms.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract. You agree to:

  • give accurate account and billing information and keep it up to date;
  • keep your credentials secure and not share a single user seat between several people;
  • tell us promptly at security@cloyk.com about any unauthorised use of your account.

Workspace owners and admins are responsible for the members, observers and guests they invite and for how those people use the Service. Only the workspace owner can buy, change or cancel a subscription.

3. Early access

Cloyk Works is being released in stages. Features marked beta or early access may change, may have lower availability and may be withdrawn. Joining the waitlist does not create an obligation for either of us to enter a paid subscription.

4. Plans, payment and our reseller

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you buy a paid plan you purchase it from Paddle, which also accepts the Paddle Buyer Terms at checkout. Paddle collects payment, issues invoices and calculates, collects and remits sales tax or VAT where applicable. Prices are listed on our pricing page in US dollars, excluding tax.

  • Paid plans are charged per billed seat, in advance, monthly or yearly. Observers are not billed seats.
  • All seats are charged at the price of the volume band your total seat count falls in, as shown on the pricing page.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • When a seat change raises your total, the difference is charged straight away, pro rata. Other differences are settled on your next invoice.
  • Plan changes take effect immediately: upgrades are charged pro rata straight away, and downgrades are credited against your next invoice.
  • We will give at least 30 days' notice of any price increase before it applies to your subscription.
  • Subscriptions are bought on the web. The mobile apps do not sell plans; a plan bought on the web applies there too.

If a payment fails, Paddle may retry it. If it still fails, the workspace may move to the Free plan until the balance is paid.

5. Free plan

The Free plan is offered at no charge, within the limits shown on the pricing page. We may change those limits with reasonable notice. When a workspace moves to a lower plan, nothing is deleted: existing work keeps working, and only creating beyond the new plan's limits is blocked.

6. Cancellation and refunds

The workspace owner can cancel at any time from the billing portal. Cancellation stops the next renewal; you keep your plan until the end of the current period and then move to the Free plan. Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee on your first payment, and are processed by Paddle.

7. Acceptable use

You must not use the Service to:

  • break any law or infringe anyone's rights;
  • upload malware or content that is unlawful, harassing or deceptive;
  • probe, overload or bypass the security of the Service, or access it by automated means other than our published API;
  • reverse engineer the Service, or resell or sublicense it without our written consent;
  • build a competing product using the Service or its content.

8. Your content

You own everything you and your members put into the Service — projects, tasks, comments and files ("Your Content"). You grant us a limited licence to host, process and display Your Content only as needed to provide and support the Service.

We handle personal data as described in the Cloyk Works Privacy Policy. On any plan you can ask us for a copy of Your Content while your account is active and for 30 days after it closes; Premium and Enterprise can also export boards as CSV themselves. After that period we delete Your Content, except for backups that expire on their normal cycle.

9. Our intellectual property

The Service, its software and its branding belong to Cloyk and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.

10. Integrations and third parties

The Service may let you connect third-party services. Your use of those services is governed by their own terms, and we are not responsible for them. Connecting one authorises us to exchange the data it needs with that provider.

11. Availability and support

We aim to keep the Service available and will try to announce planned maintenance in advance. Service levels beyond these Terms apply only where agreed in writing, for example in an Enterprise agreement. Support is provided through the channels listed for your plan.

12. Disclaimer of warranties

Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms limits rights you have as a consumer that cannot be excluded by law.

13. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Each party's total liability arising out of these Terms is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.

These limits do not apply to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

14. Suspension and termination

We may suspend or close an account that seriously or repeatedly breaches these Terms, or where required by law, and will give notice where reasonably possible. If we end the Service for reasons other than your breach, we will refund, through Paddle, any prepaid fees for the unused part of your billing period.

15. Changes to these Terms

We may update these Terms. For material changes we will notify workspace owners by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel before the changes apply.

16. Governing law

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Adana, Türkiye, have jurisdiction. This does not limit the right of consumers to apply to consumer arbitration committees and consumer courts under Turkish Consumer Protection Law No. 6502, or any mandatory rights they have under the law of their country of residence.
