Terms of Use — Cloyk

These Terms of Use ("Terms") constitute a legally binding agreement between you and Cloyk Software Technologies ("Cloyk", "we", "us", or "our") governing your access to and use of the Cloyk website, platform, APIs, and all related services (collectively, the "Services").

By accessing our website or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility

You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age and have the full legal authority to enter into this agreement on behalf of yourself or the organization you represent.

2. How to Use the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that:

Violates any applicable local, national, or international law or regulation
Is harmful, fraudulent, deceptive, threatening, or harassing
Damages, disables, overburdens, or impairs the Services or our infrastructure
Distributes malware, spyware, viruses, or any other malicious software

3. Account Registration and Security

To access certain features of the Services, you must create an account at ops.cloyk.com. When registering, you agree to provide accurate, current, and complete information.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@cloyk.com if you become aware of any unauthorized access or suspicious activity on your account. Cloyk will not be liable for any loss or damage arising from your failure to safeguard your credentials.

4. Subscriptions and Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with at least 30 days' written notice. If you cancel your subscription, your access to paid features will continue until the end of the current billing period, after which it will not renew.

Failure to pay may result in suspension or termination of your account. Any amounts past due may be subject to late payment charges as permitted by law.

5. Your Data

You retain full ownership of all data you submit to the Services ("Your Data"). By using the Services, you grant Cloyk a limited, non-exclusive, royalty-free license to host, store, process, and transmit Your Data solely to the extent necessary to provide the Services to you.

We will not access, use, or disclose Your Data except: (a) as necessary to provide and maintain the Services; (b) as directed by you; or (c) as required by applicable law. For full details on how we handle your data, please review our Privacy Policy.

6. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are the exclusive property of Cloyk and its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any rights to use Cloyk's trademarks, logos, trade names, or brand features without our prior written consent.

You may access and use the Services solely for your internal business purposes. Any unauthorized reproduction, distribution, modification, or commercial exploitation of any part of the Services is strictly prohibited.

7. Third-Party Links and Integrations

The Services may contain links to third-party websites or integrate with third-party tools and services. These third-party resources are outside our control, and we are not responsible for their content, availability, or privacy practices. Accessing third-party resources is at your own risk, and you should review their respective terms and privacy policies before use.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free access. We may perform scheduled or emergency maintenance at any time. Current service status is available at status.cloyk.com. Planned maintenance windows will be communicated in advance where practicable.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will meet your specific requirements or that they will be secure, uninterrupted, or free of errors.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Cloyk and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of or inability to use the Services.

In no event shall Cloyk's total cumulative liability to you exceed the fees you actually paid to Cloyk in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Termination

Cloyk reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Services ceases immediately.

You may terminate your account at any time by contacting us at hello@cloyk.com. Following termination, you may request an export of Your Data within 30 days. After this period, we may delete Your Data in accordance with our data retention policy.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where the changes are material, notify you by email or via a prominent notice within the Services. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
